Terms and Conditions of Service — Huntair

1. Who we are and what these Terms govern

1.1. The Huntair platform (the "Platform" or the "Service"), available at huntairseo.com and its subdomains, is owned and operated by LEAF S.r.l. Semplificata ("LEAF S.r.l.s."), an innovative SME with registered office at Via Vincenzo Pacifici 17, 00019 Tivoli (RM), Italy, and operating office at Via Etruria 41, 00183 Rome, Italy, Tax Code and VAT number 15954051007, registered with the Companies Register of Rome, REA RM-1626132, certified e-mail (PEC) leafsrlsemplificata@pec.it, contact e-mail privacy@huntairseo.com ("LEAF", the "Provider" or "we").

1.2. These Terms and Conditions (the "Terms") govern access to and use of the Platform by anyone who creates an account or otherwise uses the Service (the "User", the "Customer" or "you"). Together with the Privacy Policy and the Cookie Policy, they constitute the entire agreement between LEAF and the User.

1.3. Acceptance. By creating an account, ticking the acceptance box during registration, signing in through an external provider (Google, Microsoft, Facebook, LinkedIn, GitHub, Apple) or otherwise using the Service, the User declares that they have read, understood and fully accepted these Terms. Anyone who does not accept them must not use the Service. The date and time of acceptance are recorded for evidentiary purposes.

1.4. Specific approval of clauses. Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the User declares that they have taken specific note of, and expressly approve, the clauses in Sections 4 (Nature of the Service and no guarantee of results), 7 (User Content and responsibility for analysed domains), 8 (AI-generated content), 9 (Third-party services), 11 (Payments, renewals and no refunds), 13 (Suspension and account closure), 14 (Exclusions and limitations of liability), 15 (Indemnification), 16 (Changes to the Terms and the Service), 18 (Governing law and jurisdiction). During registration these clauses are the subject of a separate acceptance box.

2. Who the Service is for: professional use only

2.1. Huntair is an SEO (Search Engine Optimization) and GEO (Generative Engine Optimization) analysis tool intended exclusively for professionals, businesses, agencies, freelancers and organisations using it in the course of their business, commercial, craft or professional activity.

2.2. By registering, the User represents and warrants that they act for purposes relating to their professional or business activity and not as a consumer within the meaning of Article 3 of Italian Legislative Decree 206/2005 (Consumer Code). The Service is not offered to consumers. Consequently, consumer protection rules do not apply, including the right of withdrawal under Articles 52 et seq. of the Consumer Code.

2.3. If, notwithstanding the above declaration, a person qualifying as a consumer uses the Service, these Terms apply to the extent they do not conflict with mandatory consumer protection rules, all other clauses remaining in force.

2.4. The Service is reserved for adults (at least 18 years old). Anyone acting on behalf of a company or organisation declares that they have the authority to bind it to these Terms.

3. Account, credentials and teams

3.1. To use the Service you must create an account by providing a valid e-mail address and a password, or by authenticating through an external provider. Access is subject to e-mail verification.

3.2. The User is solely responsible for safeguarding their credentials, two-factor authentication (MFA) codes and backup codes, and for all activity carried out through their account, including by third parties and even without their consent. LEAF is not liable for unauthorised access resulting from the User's negligence in safeguarding credentials or devices. The User undertakes to promptly report any unauthorised use to privacy@huntairseo.com.

3.3. The User warrants that the data provided at registration and for billing (including company name and VAT number) are true, complete and up to date. Billing errors due to incorrect data provided by the User do not entitle the User to refunds or free re-issuance.

3.4. Teams. The Service allows you to create a team and invite other users. The Team Leader is the plan holder, manages billing and is exclusively responsible for the conduct of all team members, for their authorisation to access the team's projects and data, and for having informed members of these Terms and the Privacy Policy. Each team member is in turn bound by these Terms.

3.5. Sharing an account between several people, creating multiple accounts to circumvent the limits of the free plan, or transferring the account to third parties is prohibited.

4. Nature of the Service: an informational tool, no guarantee of results

4.1. Huntair is a support tool that collects, processes and presents data from public sources, third-party APIs and generative artificial intelligence models, and produces scores, reports, recommendations and content. All outputs of the Platform are purely informational and indicative in nature.

4.2. LEAF does not guarantee in any way: (a) improved rankings on Google or other search engines; (b) the appearance, citation or representation of the User's brand in answers from ChatGPT, Gemini, Claude, Perplexity or other AI systems; (c) increased traffic, conversions, sales or any other commercial result; (d) the accuracy, completeness, timeliness, reliability or fitness for a particular purpose of scores, metrics, competitor analyses, keyword positions, search volumes, gap analyses, opportunities, recommendations or any other data displayed.

4.3. SEO/GEO scores, visibility percentages and all other metrics are estimates produced by proprietary algorithms and AI models, depend on samples limited in time and space, may vary between runs and do not necessarily reflect the actual behaviour of search engines or AI systems, which change continuously and unpredictably.

4.4. Every commercial, editorial, technical, legal or investment decision made by the User on the basis of the Platform's outputs is made at their sole risk and under their sole responsibility. The User acknowledges that it is up to them to independently verify any information before acting on it and, where appropriate, to consult qualified advisers. Huntair does not provide legal, tax, medical, financial or professional advice of any kind.

4.5. The Service is provided "as is" and "as available", in the version in use from time to time. Some features may be experimental, incomplete or subject to change or removal without notice.

5. Plans, usage limits and credits

5.1. The Service is offered through plans (currently: free Starter, Individual, Business, and Enterprise on quotation), each with usage limits (number of daily analyses, crawl depth, features, number of projects, keywords, monitored prompts, etc.) described on the website and in the account area. LEAF may change plan limits and features at any time; changes to paid plans already active apply from the next renewal.

5.2. Some features consume credits, which can be purchased as a monthly subscription or as one-off packages. Credits: (a) have no monetary value and are neither refundable nor convertible into money; (b) are not transferable between teams or accounts; (c) monthly credits not used expire at the end of the period and do not accumulate; (d) one-off credits remain available while the account is active, subject to Section 13; (e) are deducted when the operation is started, regardless of whether the User finds the output satisfactory or whether the operation fails for reasons attributable to third-party services (Section 9).

5.3. LEAF may apply rate limits, processing queues, cooldown periods, maximum page caps per analysis and other technical measures to ensure the stability of the Service and control costs, without this constituting a breach.

6. Permitted use and prohibited conduct

6.1. The User undertakes to use the Service in compliance with the law, these Terms and the rights of third parties. In particular, it is prohibited to:

  • (a) use the Service for unlawful, defamatory, deceptive or discriminatory purposes, or to infringe intellectual property rights, trade secrets, privacy or image rights of third parties;
  • (b) analyse, scan or monitor websites, domains, brands or content without having the right to do so or in breach of the terms of use, robots.txt file or other conditions imposed by their owners;
  • (c) attempt to access areas, data or accounts that are not your own, or circumvent authentication controls, plan limits, rate limits or security measures;
  • (d) reverse engineer, decompile, copy, resell, sublicense or make the Service or parts of it available to third parties, except for the use of reports for your own clients within the limits of Section 10.3;
  • (e) use bots, scrapers or automated means to access the Platform or extract data from it in bulk;
  • (f) intentionally overload the infrastructure, introduce malware or compromise the integrity of the Service;
  • (g) upload documents (e.g. PDFs), texts or prompts containing third-party personal data, sensitive data, confidential or secret information you are not entitled to dispose of, or unlawful content;
  • (h) use AI outputs to generate spam, deceptive content, disinformation, content that violates the policies of the AI providers (Section 9), or for search engine manipulation practices prohibited by the guidelines of the relevant operators.

6.2. LEAF has no obligation to monitor the User's use of the Service, but reserves the right to do so and to take the measures set out in Section 13.

7. User Content and responsibility for analysed domains

7.1. The User retains ownership of the data, URLs, texts, documents, logos, prompts, project configurations and any other content they enter into the Platform ("User Content") and grants LEAF a non-exclusive, royalty-free, worldwide licence to use, store, process, transmit to third-party providers (Section 9) and reproduce them to the extent necessary to provide the Service, improve it and comply with legal obligations.

7.2. The User is solely responsible for User Content and represents and warrants that they: (a) own the domains and websites they submit for analysis, or have been expressly authorised by the owner; (b) have the right to analyse the competitor websites indicated, limited to publicly accessible information; (c) hold all rights, licences and consents necessary for uploaded documents and entered texts; (d) are authorised to connect the Google Analytics and Google Search Console properties they link to the Platform; (e) do not enter third-party personal data unless strictly necessary and, in any case, in compliance with applicable law, assuming in that case the role of data controller.

7.3. The User acknowledges that the Platform, on their instruction, automatically accesses third-party websites (crawling, scraping, link checking, performance measurements) and external services (search engines, AI systems). The User assumes sole responsibility and risk arising from such access, including any claims by the owners of analysed websites, and acknowledges that LEAF acts as a mere technical executor of the User's instructions.

7.4. LEAF may remove, without notice, User Content that it deems, at its discretion, unlawful or contrary to these Terms.

8. Content generated by artificial intelligence

8.1. Many features (by way of example: AI recommendations, AI Agent, article and image generator, FAQ and llms.txt generator, PDF summarisation and translation, brand knowledge, brand visibility, gap analysis, opportunities, prompt evaluation) rely on third-party generative artificial intelligence models (currently OpenAI, Anthropic, Google, Perplexity) and on search engine data obtained through third parties.

8.2. The User acknowledges and accepts that AI-generated content ("AI Output"): (a) is produced probabilistically and may contain errors, inaccuracies, false or fabricated information ("hallucinations"), outdated, biased or inappropriate content; (b) may be identical or similar to output provided to other users; (c) may, without LEAF being able to know or prevent it, reproduce in whole or in part content protected by third-party rights or trademarks, or contain defamatory or inaccurate statements about people, companies or products, including the User's competitors.

8.3. LEAF claims no rights over AI Output, which the User may use at their own risk. LEAF does not warrant that AI Output is original, free from third-party rights, correct, lawful or suitable for publication. The plagiarism check offered by the Platform is likewise indicative and does not constitute a guarantee of originality.

8.4. Before publishing, distributing or otherwise using any AI Output, the User must independently verify, correct and validate it, assuming all responsibility for its publication and for the consequences towards third parties (including the persons mentioned in the Output and rights holders). The User undertakes to comply with any AI transparency obligations under applicable law (including Regulation (EU) 2024/1689, the "AI Act", where applicable).

8.5. The User undertakes to comply with the usage policies of the AI providers used by the Platform, as in force from time to time and published on their respective websites, which are incorporated herein by reference.

9. Third-party services and providers

9.1. The Service depends essentially on third-party services, including, by way of example: AI model providers (OpenAI, Anthropic, Google, Perplexity), search data services (SerpApi), scraping and geolocation services (ScraperAPI), Google PageSpeed Insights, Google Analytics and Search Console APIs, identity providers (Google, Microsoft, Facebook, LinkedIn, GitHub, Apple), Stripe for payments, SendGrid for e-mail, Heroku and MongoDB Atlas for hosting.

9.2. LEAF does not control and is not responsible for the availability, performance, accuracy, changes, interruptions, limitations, costs, blocks or termination of such services, nor for the decisions of their operators (e.g. changes to AI models, search results, APIs or policies). The unavailability or malfunction of a third-party service, even if it causes an analysis to fail or credits to be consumed, does not constitute a breach by LEAF and does not give rise to refunds, compensation or price reductions.

9.3. The use of features requiring connection to a third-party account (e.g. Google Analytics) is also governed by the terms of the relevant provider, which the User accepts. The User may revoke the connection at any time from the project settings or the provider's dashboard.

9.4. The Platform may contain links to third-party websites. LEAF is not responsible for their content, products, services or practices.

10. Intellectual property

10.1. The Platform, the software, the algorithms, the scoring models, the system prompts, the design, the trademarks (including "Huntair"), the logos, the website texts and all other LEAF materials are and remain the exclusive property of LEAF or its licensors, and are protected by copyright, trademark, software and database law.

10.2. LEAF grants the User a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to use the Platform, for the duration of the plan, solely for their own internal professional purposes, within the limits of these Terms.

10.3. The User may use reports, exported PDFs and AI Output in the course of their business, including for their own clients, provided that they do not remove any indications of origin and do not present the Platform as their own. The User remains solely responsible towards their clients for the use of such materials.

10.4. Any suggestions, feedback or improvement ideas provided by the User may be freely used by LEAF without obligation or compensation.

11. Prices, payments, renewals and no refunds

11.1. Plan and credit prices are shown on the website and in the account area, excluding VAT unless otherwise indicated, in euro. LEAF may change prices at any time; for active subscriptions the change applies from the first renewal following an e-mail notice with at least 30 days' notice. Failure to cancel before renewal constitutes acceptance of the new price.

11.2. Payments are processed by Stripe; LEAF neither receives nor stores full payment card details. The User accepts Stripe's terms and authorises recurring charges to the indicated payment method for the entire duration of the subscription.

11.3. Automatic renewal. Subscriptions (plans and monthly credits) renew automatically at the end of each period (monthly or annual) until cancelled. Cancellation may be made at any time from the account area and takes effect at the end of the period already paid, which remains due in full; until then the Service remains accessible.

11.4. No refunds. As this is a digital service for professionals, the provision of which begins immediately, no amount paid is refundable, in whole or in part, for any reason, including: unused periods, early cancellation, unused credits, downgrades, dissatisfaction with outputs, changes to features, unavailability of third-party services, suspension or closure of the account under Section 13. Any exceptions are at LEAF's sole discretion and do not constitute a precedent.

11.5. Upgrades and downgrades. Upgrades take effect immediately with a proportional charge (proration) according to the rules shown at the time of the operation; downgrades take effect from the next renewal. Features, limits and data exceeding the new plan may become inaccessible.

11.6. Non-payment. In the event of a failed or unpaid payment, LEAF may immediately suspend access to paid features, downgrade the account to the free plan and, after 30 days, close the account. Accrued amounts remain due.

11.7. Invoicing. Invoices are issued on the basis of the data provided by the User at checkout (company name, VAT number, address). The User must provide correct data; LEAF is not responsible for errors resulting from incorrect or incomplete data. The free plan is not invoiced.

11.8. All price, renewal and refund terms stated in FAQs or commercial pages of the website are merely descriptive; in case of conflict these Terms prevail.

12. Availability, maintenance and security

12.1. LEAF undertakes to use reasonable diligence to keep the Service accessible, but does not guarantee any level of availability (SLA), continuity, absence of errors or absence of data loss. The Service may be suspended, in whole or in part, for maintenance, updates, security reasons, force majeure events, overload, or causes attributable to third-party providers, without notice and without giving rise to compensation.

12.2. LEAF adopts reasonable security measures (encryption in transit, hashed passwords, optional two-factor authentication, protected session cookies). The User nevertheless acknowledges that no system is entirely secure and that LEAF cannot guarantee that third parties will not circumvent such measures. The User is responsible for enabling the available security measures (MFA), safeguarding credentials and independently keeping copies of the data and reports they consider important.

12.3. The Service is continuously evolving. LEAF may add, modify, limit or remove features, AI models used, scoring methodologies and report formats at any time. A change in methodology may make historical scores non-comparable.

13. Suspension, account closure and data deletion

13.1. LEAF may suspend or close the account, in whole or in part, with immediate effect and without notice, at its discretion, where: (a) the User breaches, or there is a reasonable suspicion of breach of, these Terms or the law; (b) use of the Service exposes LEAF, other users or third parties to legal, reputational, technical or economic risks; (c) there are requests from authorities or third-party providers; (d) the account has been inactive for more than 12 months (free plan only); (e) there are outstanding payments (Section 11.6). In such cases no refund or compensation is due and any remaining credits are forfeited.

13.2. LEAF may also cease providing the Service, in whole or in part, to all users, with at least 30 days' notice published on the website or sent by e-mail; in that case only amounts paid in advance for the period following termination will be refunded, excluding any other compensation.

13.3. The User may close their account at any time through the features available in the account area or by writing to privacy@huntairseo.com. Closure does not give rise to refunds (Section 11.4).

13.4. Upon closure of the account, for any reason, LEAF may permanently delete all associated projects, analyses, reports, configurations and AI Output, without any obligation of retention or return, subject to retention obligations required by law (e.g. tax data). The User must independently export what they need before closure.

13.5. Sections 4, 7, 8, 9, 10, 11.4, 14, 15, 17 and 18 survive termination of the relationship.

14. Exclusions and limitations of liability

14.1. To the maximum extent permitted by applicable law, LEAF, its shareholders, directors, employees, collaborators and suppliers shall not be liable to the User or third parties for any direct or indirect, incidental, consequential, special or punitive damage, including by way of example: loss of profits, revenue, contracts, customers, goodwill or business opportunities; loss, corruption or inaccessibility of data; business interruption; costs of substitute services; penalties, de-indexing or ranking changes on search engines; failure or error in the representation of the brand in AI systems; AI-generated content; reputational damage; third-party claims (including owners of analysed websites, competitors, intellectual property rights holders and persons mentioned in AI Output); in any way arising from or connected with the use of or inability to use the Service, even if LEAF has been advised of the possibility of such damage.

14.2. In any event, and to the extent that LEAF's liability is nonetheless established, LEAF's total liability for all claims arising from these Terms or the use of the Service shall not exceed the total amount paid by the User to LEAF in the 12 months preceding the event giving rise to the claim, and in any case, for free plan users, the amount of EUR 100.00.

14.3. The above exclusions and limitations do not apply in cases of wilful misconduct or gross negligence by LEAF, or in other cases where the law does not permit liability to be excluded or limited (Article 1229 of the Italian Civil Code); in such cases LEAF's liability is limited to the minimum permitted.

14.4. The User acknowledges that the price of the Service (or its being free of charge) has been determined taking into account these exclusions and limitations, which constitute an essential element of the agreement.

14.5. Any action by the User against LEAF must be brought, under penalty of forfeiture, within 12 months of the event giving rise to it, to the extent permitted by law.

15. Indemnification

15.1. The User undertakes to indemnify and hold harmless LEAF, its shareholders, directors, employees, collaborators and suppliers from any claim, action, demand, damage, loss, liability, cost or expense (including legal fees) brought by third parties or authorities and arising from or connected with: (a) the use of the Service by the User or their team members; (b) User Content; (c) the analysis of third-party websites, domains or brands carried out on the User's instruction; (d) the publication or use of AI Output by the User; (e) breach of these Terms, the law or third-party rights; (f) breach of the representations and warranties made by the User; (g) the processing of third-party personal data entered by the User into the Platform.

15.2. LEAF reserves the right to assume the defence and control of any matter subject to indemnification; in that case the User shall cooperate fully.

16. Changes to the Terms and the Service

16.1. LEAF may amend these Terms at any time. Material changes will be communicated with at least 15 days' notice by e-mail to the address associated with the account and/or by notice within the Platform. Non-material changes (corrections, clarifications, regulatory adjustments, new features) are effective upon publication.

16.2. Continued use of the Service after the changes take effect constitutes acceptance of them. A User who does not wish to accept them must cease use and close their account before that date; this does not give rise to refunds for periods already paid.

16.3. The current version of the Terms is always available at huntairseo.com/legal. The effective date is indicated at the top of the document.

17. General provisions

17.1. Communications. Communications to LEAF must be sent to privacy@huntairseo.com or, for formal communications, to leafsrlsemplificata@pec.it. Communications to the User are validly made to the e-mail address associated with the account; the User must keep it up to date and monitor it.

17.2. Confidentiality. The User undertakes not to disclose non-public information relating to the Platform (unannounced features, custom prices, system prompts, technical details) of which they become aware.

17.3. Assignment. The User may not assign these Terms or the account without LEAF's written consent. LEAF may freely assign these Terms, in whole or in part, to group companies or successors in the business, giving notice thereof.

17.4. Force majeure. LEAF is not liable for delays or failures due to causes beyond its reasonable control, including network failures, cyber attacks, third-party supplier outages, measures by authorities, strikes, natural events, pandemics, wars.

17.5. Severability. If a clause is held invalid or unenforceable, the others remain fully valid and the invalid clause shall be deemed replaced by a valid one that achieves its purpose as closely as possible.

17.6. No waiver. LEAF's failure or delay in objecting to a breach does not constitute a waiver of its rights.

17.7. Entire agreement. These Terms, the Privacy Policy and any specific conditions accepted for Enterprise plans constitute the entire agreement between the parties and supersede any prior understanding. No statement contained in marketing materials, FAQs, support chats or informal communications has contractual value.

17.8. Language. These Terms are drawn up in Italian. Any translations are provided for convenience only; in case of discrepancy the Italian version prevails.

17.9. Usage analytics and commercial communications. The User acknowledges that use of the website and the Platform may be subject to measurement, customer journey analysis and, with their consent, profiling and personalised marketing, as described in the Privacy Policy and the Cookie Policy. The User further acknowledges that LEAF may send them commercial communications relating to services similar to those purchased, pursuant to Article 130, paragraph 4, of Italian Legislative Decree 196/2003, subject to objection which may be exercised at any time. The Team Leader undertakes to inform the team members they invite of the above.

17.10. Enterprise. Specific conditions may be agreed for Enterprise plans in a separate contract, which prevails over these Terms only to the extent expressly derogated.

18. Governing law and jurisdiction

18.1. These Terms and any relationship between LEAF and the User are governed by Italian law, excluding conflict-of-law rules and the 1980 Vienna Convention on Contracts for the International Sale of Goods.

18.2. Any dispute arising from or connected with these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the Court of Tivoli (Italy), to the exclusion of any other alternative or concurrent forum.

18.3. If, notwithstanding Section 2, the User qualifies as a consumer resident in the European Union, the jurisdiction of the court of the consumer's residence or domicile remains where mandatory, and the User is informed of the possibility of using the European ODR platform (https://ec.europa.eu/consumers/odr).
